Terms and Conditions

Please read these Terms carefully. By using NewPanda or signing up for an account, you agree to these Terms, which form a legally binding agreement between you and NewPanda (“Agreement”).

NewPanda (“NewPanda,” “we,” or “us”) is an online marketing platform that enables users to create, customise, schedule, and deliver marketing campaigns including email newsletters, social media posts, automated eCards, and related communications (the “Service”).

NewPanda is operated by Global Relations Group, LLC dba NewPanda, a Kentucky limited liability company.

If you do not agree to these Terms, you must immediately discontinue use of the Service.

Account Eligibility

• You must be at least 18 years old.
• You must provide accurate and current information.
• You must not be located in a restricted or sanctioned jurisdiction.

Term

This Agreement begins when you create an account and continues until terminated.

You may cancel your subscription at any time. Cancellation prevents future billing but does not entitle you to refunds for prior billing periods.

Recurring Billing

By subscribing to a monthly or annual plan, you authorise recurring billing to your selected payment method beginning on your signup date.

Billing recurs automatically on the same calendar day each month or year unless cancelled prior to the renewal date.

Strict No-Refund Policy

ALL FEES ARE NON-REFUNDABLE.

By subscribing, you agree that subscription fees are earned upon billing.

No refunds, credits, or prorated reimbursements will be provided for:

• Failure to log in
• Failure to use the Service
• Inactivity
• Enterprise affiliation changes
• Expired social media tokens or integrations
• Email delivery issues outside our control
• Automated or scheduled campaign processing
• Forgotten cancellation
• Billing oversight

Continued access to the Service, generation of campaigns, scheduling, customisation, storage, processing, queuing, or attempted delivery constitutes full service delivery for billing purposes.

Service Delivery Defined

The Service is considered delivered when any of the following occur during a billing period:

• Campaigns are generated, customised, or prepared for your account
• Automated eCards or newsletters are created for your account
• Content is stored, processed, queued, or scheduled
• Email or social posts are attempted or transmitted
• System resources are allocated to your account
• You retain access to the platform

Successful end-recipient delivery is not required for service to be considered rendered.

Chargebacks and Payment Disputes

You agree not to initiate chargebacks or payment disputes without first contacting help@newpanda.com.

Filing a chargeback without first seeking resolution constitutes a material breach of this Agreement.

If a chargeback is filed:

• Your account may be immediately suspended.
• Access to campaigns and data may be revoked.
• You remain responsible for the full subscription term.
• We reserve the right to submit system logs, billing records, campaign generation logs, scheduling logs, API activity, email transmission records, social posting attempts, login history, and Terms acceptance records as conclusive evidence of service delivery.
• You agree to reimburse us for all chargeback fees, penalties, administrative costs, and collection expenses.

Use of the Service after billing confirms acceptance of the charge.

Automated Campaigns

The Service may include automated campaigns, pre-scheduled content, or recurring communications. These may continue unless actively paused or cancelled by you.

You are solely responsible for managing automation settings within your account.

User Responsibility

You are responsible for:

• Monitoring your subscription
• Maintaining valid payment information
• Reviewing account activity
• Managing integrations and connected services

Limitation of Liability

To the maximum extent permitted by law, our total liability in any calendar month shall not exceed the amount paid by you in the preceding month.

We are not liable for indirect, incidental, or consequential damages.

Warranties

The Service is provided “as is” without warranties of any kind.

Indemnification

You agree to indemnify and hold harmless NewPanda from any claims arising from your use of the Service or violation of these Terms.

Governing Law

This Agreement is governed by the laws of the Commonwealth of Kentucky.
